Terms & Conditions

These Terms govern your participation in the ChurchVault Partner Programme operated by Dunamis Code & Visuals ("we", "us", "ChurchVault"). By applying to or participating in the programme, you agree to be bound by these Terms.

1. Eligibility

To participate you must:

• Be at least 18 years of age
• Have a valid bank account in your name for receiving payments
• Submit a completed application and receive written approval from ChurchVault
• Not be an employee, director, or immediate family member of Dunamis Code & Visuals
• Not refer yourself or organisations you directly control

2. How the Programme Works

Upon approval you receive a unique referral link. When a church signs up for a paid ChurchVault subscription through your link and their payment is verified, that church is attributed to your account. You earn a commission on their subscription for as long as they remain an active subscriber.

3. Commission Structure

Commissions are calculated as a percentage of the church's monthly subscription fee, including any branch fees applicable from month 2 onwards.

Commission rates are set by ChurchVault and may be adjusted with 30 days' written notice to active partners. Changes do not affect commissions already credited.

4. Commission Crediting

• Commissions are credited to your balance on the 1st of each calendar month
• A church's subscription must be in active status for commissions to be credited that month
• If a church's subscription lapses, commissions stop from that month. If they later renew, commissions resume automatically
• Branch fees (from month 2) are included in the commission calculation
• Annual subscriptions are calculated on the equivalent monthly rate

5. Withdrawals

• Minimum withdrawal amount: ₦100,000
• Withdrawals may only be requested on the 1st and 15th of each month
• Only one withdrawal request may be pending at a time
• Payment is made via bank transfer to the account you provide. Allow 2–3 working days for processing
• You are responsible for ensuring your bank details are correct. ChurchVault is not liable for payments made to incorrectly provided details
• ChurchVault reserves the right to withhold payment pending investigation of any suspicious activity

6. Prohibited Conduct

You must not:

• Self-refer — create accounts for yourself, family members, or organisations you control to generate commissions
• Fake referrals — submit false church information for manual approval
• Use spam, unsolicited messaging, or deceptive marketing to promote ChurchVault
• Make false claims about ChurchVault's features, pricing, or guarantees
• Use ChurchVault's name or logo in paid advertising without prior written consent
• Offer discounts, refunds, or incentives on ChurchVault's behalf without authorisation

7. Clawback Policy

ChurchVault reserves the right to reverse credited commissions if:

• A referred church requests a refund and it is granted
• A referral is found to violate the prohibited conduct rules above
• A payment is reversed by Paystack or a financial institution
• Fraud or misrepresentation is discovered at any time

Reversed commissions will be deducted from your available balance. If your balance is insufficient, the amount becomes a debt recoverable by ChurchVault.

8. Your Marketing

You are solely responsible for your marketing activities and any costs associated with them. ChurchVault does not provide a marketing budget, require a specific approach, or guarantee results. You may market via any legal channel — social media, WhatsApp, in person, events, or otherwise.

9. No Employment or Agency

Participation in this programme does not create an employment, partnership, agency, or franchise relationship between you and ChurchVault. You are an independent referrer. You have no authority to bind ChurchVault to any agreement or obligation.

10. Intellectual Property

You may share ChurchVault's publicly available marketing materials. You must not alter, repackage, or create derivative works from ChurchVault's branding, logo, or content without written permission.

11. Account Suspension and Termination

ChurchVault may suspend or terminate your partner account immediately if you breach these Terms. Upon termination:

• No further commissions will be credited
• Any verified balance at the time of termination remains payable subject to these Terms
• Balances from fraudulent or reversed referrals will be forfeited

12. Limitation of Liability

ChurchVault's liability to you under this programme is limited to the verified unpaid commission balance in your account at the time of any claim. We are not liable for any indirect, consequential, or lost profit claims.

13. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated via email to active partners with at least 14 days' notice before taking effect. Continued participation after the effective date constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall first be resolved by good-faith negotiation. If unresolved, disputes shall be referred to the courts of Lagos State, Nigeria.
